These are the terms of use for Koody, Inc. ("Koody," "we," "our," or "us"), a technology company incorporated in Delaware, United States of America. By accessing or using our application ("App"), website, and related services (collectively, the "Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our Services.

Description of Services

Koody helps individuals and sole proprietors manage cash flow and prepare for tax time through Personal and Business workspaces. Our Services include:

• Tracking income and expenses through manual entry and transaction imports.
• Creating and managing budgets.
• Monitoring recurring transactions.
• Planning personal and household financial goals.
• Organizing business records and generating reports, such as Profit & Loss reports and Schedule C preparation worksheets.

Please note that our Services are intended for informational and organizational purposes only and do not constitute financial, legal, or tax advice.

Business Reports and Tax Preparation

Koody helps you understand your business finances and prepare for tax time. The Business workspace brings together categorized income and expenses, Profit & Loss reports, and a Schedule C preparation worksheet for eligible customers. You can review the supporting transactions and download reports to share with your accountant.

Schedule C preparation worksheet

Preparation worksheet. Not for filing. This Koody-generated report organizes your recorded activity using Schedule C categories. It is not an official IRS form or a completed tax return. Koody is not affiliated with or endorsed by the IRS and does not provide professional tax or accounting advice. Figures may require adjustments. Have a qualified tax professional review your records and prepare your return.

Business reports reflect your recorded activity and the inputs you provide. You are responsible for keeping accurate and complete records, reviewing the figures and applicable tax treatment, and meeting your filing and payment obligations. Koody does not submit tax returns or tax payments on your behalf.

Geographic Availability

Koody's tax-preparation suite is available exclusively to users in the United States. Our transaction import and automatic categorization features are optimized for users in the United States, the United Kingdom, Canada, and Australia. Users in other countries may still use Koody's other features, including budgeting, expense tracking, and cash flow management.

Account Registration and Security

To use certain features of our Services, you may be required to create an account. You agree to:

• Provide accurate and complete information during registration.
• Maintain the confidentiality of your login credentials.
• Notify us immediately of any unauthorized use of your account.

You are responsible for all activities that occur under your account.

Subscription and Payment

We offer a Free plan and paid subscriptions with the following terms:

• Free Trial: New users may access a one-month free trial.
• Subscription Fees: After your trial ends, you can continue using the Free plan. Access to paid-plan features requires a subscription, with fees outlined on our pricing page.
• Billing: Subscription fees are billed in advance on a recurring basis (e.g., monthly or annually).
• Cancellation: You may cancel your subscription at any time through your account settings. Upon cancellation, access to premium features will continue until the end of the current billing cycle.

All fees are non-refundable, except as required by law.

User Conduct

You agree not to use our Services to:

• Violate any applicable laws or regulations.
• Infringe upon the rights of others.
• Transmit any harmful or malicious code.
• Engage in unauthorized data collection or scraping.

We reserve the right to suspend or terminate your access if you violate these Terms.

Bank Connections and Data Import

Our Services allow you to upload financial data. Bank connections and automatic bank syncing are not available yet. By using our data-import features, you:

• Authorize us to access and process your financial data solely for providing the Services.
• Acknowledge that we use third-party services to process data imports.
• Understand that we do not store your bank login credentials.

We are not responsible for the accuracy of data imported from external sources.

Data Privacy and Security

• Use of industry-standard encryption to protect your data.
• Collection and use of data solely for providing and improving our Services.
• No sale of your personal information to third parties.

Termination

We may terminate or suspend your access to the Services at our discretion, without prior notice, if you violate these Terms or engage in conduct that we deem harmful to our interests or the interests of others.

Upon termination:

• Your right to use the Services ceases immediately.
• We may delete your account and associated data, subject to our data retention policies.

These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the courts located in Delaware, USA.
